I. THE PARTIES
This Non-Disclosure Agreement ("Agreement") created on January 17, 2023 is by and between:
1st Party: Director Tom_Kirkman for the Vindex Intelligence Agency ("1st Party")

2nd Party: Attorney General GargatheOro FOR and OF the Department of Justice, Tony_Ramone FOR and OF the Vindex Police Department; Aw2x FOR and OF the Vindex Police Department-- collectively ("2nd Party").

The 1st Party and 2nd Party are each referred to herein as a "Party" and, collectively, as the "Parties."
This Agreement is made by the Parties to prevent the unauthorized disclosure of confidential information ->

vital to protecting the national security of Vindex Nation.
The Parties agree as follows to all contents herein this document with no objection whatsoever:

II. TYPE OF NDA
UNILATERAL ->
This Agreement shall be considered unilateral. Therefore, the 1st Party shall have sole ownership and control of the Confidential Information, with the 2nd Party being prohibited from disclosing ->

confidential information that is or has been released by the 1st Party.
III. PURPOSE
The purpose of this Agreement is for:
the continued protection of classified information vital to Vindex Nation's national security.

IV. CONFIDENTIAL INFORMATION
For the purpose of this Agreement, the term "Confidential Information" shall include, but not be limited to, documents, records, sketches, designs, schedules, plans, technical procedures, analyses, compilations, studies,

software, samples, formulas, methodologies, formulations, product developments, employment applications, knowledge, experimental results, specifications, and other governmental or intelligence information relating to the 1st Party's

business, assets, operations, contracts, warrants, employees, raids, storage materials, properties, or any other information obtained by the 2nd Party through, but not limited to, the execution of a search and seizure on financial3, the 1st Party's

affiliates, employees, officers, owners, agents, or representatives in the course of their work contemplated in this Agreement, regardless of whether such Confidential Information has been expressly designated as confidential or detrimental to national

security. Confidential Information also includes any and all products, studies, and other material prepared by or in the posession or control of the 2nd Party, which contain, include, refer to, or otherwise reflect or are generated from any Confidential Information obtained

or viewed by the 2nd Party.
However, Confidential Information does not include:
a) informational generally available to the publio made possible by means not related to the 2nd Party,

b) information RIGHTFULLY and LEGALLY in posession of the Parties prior to signing this agreement; and
c) information independently developed without the use of any provided Confidential Information.

V. OBLIGATIONS
The obligations of the 2nd Party shall be to always hold and maintain the Confidential Information in the strictest of confidence to their agents, employees, representatives, affiliates, and any other individual or

entity that has come into contact with any Confidential Information.
If any such Confidential Information shall reach a third (3rd) party, or become public, all liability will be on the 2nd Party that is responsible.

The 2nd Party shall not, without the written approval of the 1st Party, publish, copy, use, or discuss the Confidential Information.
If the 2nd Party possesses any Confidential Information, they must immediately return and surrender it to the

1st Party at the time of signing this Agreement.
This section shall not apply to the 1st Party, because this NDA is Unilateral.

VI. TIME PERIOD
The bounded Parties duty to hold Confidential Information in confidence shall remain in effect indefinitely and shall not expire until such information is deemed not sensitive, in writing, by the 1st Party.

VII. INTEGRATION
This Agreement expresses the complete understanding of the Parties with respect to the subject matter and supersedes all prior proposals, agreements, representations, and understandings.

This Agreement may no tbe amended except in the writing with the acknowledgement of both Parties.

VIII. ENFORCEMENT
The 2nd Party acknowledges and agrees that due to the unique and sensitive nature of the Confidential Information, any breach of this Agreement would cause irreprable harm for which damages and/or

requitable relief may be sougt.
The 1st Party shall be entitled to in civil court if this Agreement is broken the following:
- the termination from position of any individual explicitly named in the 2nd Party

- the prosecution and imprisonment, no less than 24 hours and no more than 48 hours, incarceration of any individual explicitly named in the 2nd Party.
- the fine of no less than $500,000 and no more than $2,000,000 of any individual explicitly named in the

2nd party.
The Department of Justice or Vindex Police Department shall be held liable for the violation of this agreement by any entity not explicitly named, but employed, by the 2nd Party.

GargatheOro signs on behalf of the Department of Justice.
Tony_Ramone signs on behalf of the Vindex Police Department.
In cases where the Department of Justice, or Vindex Police Department, as a whole are liable, the fine shall

come from the Department of the Treasury and shall be no less than $1,500,000, but no more than $2,500,000.

IX. GOVERNING LAW
This Agreement shall be governed under the laws of Vindex Nation.
